These Terms & Conditions (“Terms”) govern access to and use of the Woozchain website, Woozchain AMS and related services (the “Service”). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an association or other organisation, you confirm that you are authorised to act for it.

1. The Service

Woozchain AMS is designed to help associations organise their members, provide member portals and digital membership features, and create or customise tools for their communities. Features may change or be introduced over time. We may update, suspend or discontinue parts of the Service where reasonably necessary, including for maintenance, security or product improvement.

2. Accounts and workspaces

You must provide accurate information, keep account credentials secure and promptly notify us of suspected unauthorised access. You are responsible for activity carried out through your account and for managing the permissions of people you invite to a workspace. You must ensure that workspace users are authorised to access the information and tools made available to them.

3. Association and member information

You retain responsibility for the data and content you or your organisation submit to the Service (“Customer Content”). You must have the necessary rights, permissions and legal basis to collect, upload, use and share that content. You must not upload unlawful content or information that you are not authorised to process. You should inform members about the relevant data practices of your association.

4. AI Builder and generated modules

AI-assisted features may produce code, text or other outputs based on your instructions. Outputs may be incomplete, inaccurate, insecure or unsuitable for a particular purpose. You are responsible for reviewing outputs and testing them in an appropriate environment.

For quality and safety, Woozchain manually reviews each new module and significant update before publication through the Service. Submission does not guarantee approval or publication. Woozchain may request changes, reject, suspend or remove a module that does not meet applicable quality, security, legal or platform requirements. Do not treat a generated or reviewed module as a substitute for professional advice or independent security testing where needed.

5. Acceptable use

You agree not to use the Service to violate laws or third-party rights; distribute malware or attempt to compromise systems; access accounts or data without permission; interfere with the availability or security of the Service; reverse engineer or misuse the Service except where applicable law permits; or submit content that is unlawful, fraudulent, harmful or misleading. We may investigate suspected misuse and take proportionate action, including restricting access.

6. Fees and payments

Applicable fees, billing units, payment timing, taxes and any included usage limits will be presented in the relevant offer or order details. If a plan is priced by member, module or usage, the applicable calculation and measurement method should be specified in the plan details. You agree to pay charges that you have accepted. We may restrict paid features for overdue amounts after reasonable notice, subject to applicable law and the agreed plan terms.

Unless stated otherwise in an applicable order or required by law, fees are exclusive of applicable taxes. Any renewal, cancellation, refund and price-change rules must be stated in the applicable subscription or order terms.

7. Intellectual property

Woozchain and its licensors retain rights in the Service, including its software, branding, design and documentation, except for rights expressly granted to you. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Service for your organisation during the applicable subscription period.

You retain your rights in Customer Content. To operate the Service, you grant Woozchain permission to host, process, transmit and display Customer Content as reasonably necessary to provide, secure and support the Service. Rights in AI-generated outputs may depend on applicable law and third-party terms; you are responsible for checking that your use of an output is lawful and does not infringe others' rights.

8. Third-party services

The Service may rely on or link to third-party products and services. Those services may be governed by their own terms and privacy policies. Woozchain is not responsible for third-party services outside its reasonable control.

9. Availability, warranties and liability

We aim to provide a reliable Service but do not promise uninterrupted or error-free availability. To the extent permitted by law, the Service is provided on an “as available” basis, and implied warranties are excluded where they may lawfully be excluded. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including any mandatory consumer rights.

To the extent permitted by law, Woozchain will not be liable for indirect or consequential loss, loss of profits, loss of goodwill, or loss of data arising from use of the Service. Any applicable liability cap should be agreed and stated in the final contract or order terms before launch.

10. Suspension and termination

You may stop using the Service at any time, subject to any subscription or order terms you have accepted. We may suspend or terminate access where reasonably necessary for security, legal compliance, non-payment, material breach of these Terms or risk to other users. Where appropriate and legally permitted, we will provide notice and an opportunity to address the issue. Terms that by their nature should continue after termination will remain in effect.

11. Changes to these Terms

We may update these Terms as the Service changes. We will publish the updated version on this page and revise the “Last updated” date. Where required by law or contract, we will provide notice or seek renewed acceptance.

12. Governing law

These Terms are subject to the laws and courts applicable to the Woozchain contracting entity, without prejudice to any mandatory rights or protections that apply to you. Before publication, this section should identify the correct governing law and competent courts for the contracting entity and intended customers.
